Please read these Terms of Service (“Terms”) carefully before using the Protocol website, mobile applications, and related services (collectively, the “Services”), operated by Miicon Solutions Limited (“Company”), a company registered in England and Wales, with its registered office at 201 A Victoria Street, London, SW1E 5NE, United Kingdom. The Services are a global product available to users worldwide.
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
By registering for an account, downloading or accessing our applications, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Protocol is a finance and HR management platform that helps individuals and organizations manage their finances and workforce. Services may include financial tracking and budgeting, savings and investment tools, reporting and analytics, and HR functions such as employee management, attendance, leave, and payroll. Features, functionality, and availability may change from time to time.
To use certain features of the Services, you must create an account. When you register, you agree to provide accurate, current, and complete information — including at least your name, email address, and a password — and to keep that information up to date. On mobile, you may log in using your email address and password.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We may require you to verify your identity, for example through a one-time passcode (OTP) sent to your registered contact details, as part of our security procedures.
You must be at least 13 years old (or the applicable minimum age in your country) to use the Services. If you are under the minimum age, you may only use the Services with the involvement of a parent or legal guardian. By using the Services, you represent that you meet these eligibility requirements.
You agree not to misuse the Services. In particular, you agree not to:
Some features of the Services require a paid subscription (“Subscription”). If you purchase a Subscription, you agree to pay the applicable fees as described at the time of purchase, in accordance with the pricing displayed on the Services.
You may cancel your Subscription at any time through your account settings or by contacting us. Unless otherwise required by applicable law or stated at the time of purchase, Subscription fees are generally non-refundable, including for partially used billing periods. Where a legal right to a refund exists, we will honor it in accordance with applicable law. Cancellation will take effect at the end of the current billing period, and you will continue to have access to any prepaid Services until that period ends.
You retain ownership of the data and content you submit, upload, or create through the Services (“User Data”). By using the Services, you grant us a limited, non-exclusive, worldwide license to host, store, process, and use your User Data solely for the purpose of providing, operating, and improving the Services to you.
You are solely responsible for the accuracy, quality, and legality of your User Data and for ensuring that you have the necessary rights and permissions to submit it. If you use the Services to manage HR or payroll data relating to other individuals, you are responsible for complying with applicable data protection laws and for having an appropriate lawful basis to share that data with us.
The Services, including their software, design, text, graphics, logos, and all other materials, are owned by or licensed to the Company and are protected by intellectual property and other laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent. Your use of the Services does not transfer any ownership rights to you.
The Services may integrate with or contain links to third-party websites, applications, or services. We are not responsible for the content, policies, or practices of any third parties, and your use of third-party services is subject to their own terms and privacy policies.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE. THE SERVICES ARE PROVIDED FOR FINANCIAL AND HR MANAGEMENT PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL FINANCIAL, LEGAL, ACCOUNTING, OR OTHER ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
You may stop using the Services at any time. We may suspend or terminate your access to the Services, in whole or in part, at our discretion and without notice, where we believe you have violated these Terms, engaged in conduct that harms the Services or other users, or where required by law. Upon termination, your right to use the Services ceases immediately, and we may delete or restrict access to your account and User Data in accordance with applicable law and our Privacy Policy.
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Services, (b) your User Data, or (c) your violation of these Terms or applicable law.
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the courts of England and Wales. Notwithstanding the foregoing, nothing in these Terms limits any mandatory rights you may have under the consumer protection laws of your country of residence.
We may update these Terms from time to time. We will post any changes on this page and update the “Effective Date” above. If we make material changes, we will provide notice through the Services or by email, where appropriate. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
